AZ PRACTICAL BUSINESS LAW is an essential book for anyone starting, running or working in a business in Vietnam. Written by experienced legal professionals, it provides a comprehensive and accessible overview of common legal issues in business practice, from company formation, contracts, fundraising and intellectual property to dispute resolution and legal compliance.
Having worked alongside hundreds of businesses, particularly small and medium-sized enterprises (SMEs), the author understands a common concern: “There are millions of legal documents. I am not a lawyer; I just want to focus on business. How can I possibly understand all the law?”
Whether or not you pay attention to it, the law governs every activity of your business: choosing a business structure, hiring staff, signing contracts, selling online, undergoing inspections or resolving disputes.
This book therefore has one purpose: to help you, as a business owner, understand the law and take control of your company's future. It is neither a theory-heavy textbook nor an academic treatise. It is a practical guide drawn from real experience, real questions and real situations faced by my clients and partners, who have sometimes paid a price for not understanding the law.
Through each section of the book, you will:
• Gain a clear, memorable overview of Vietnam's business law system;
• Learn to choose a business model that fits your goals, saves costs and manages risk;
• Understand the additional licences required in certain sectors to comply with the law;
• Learn to draft and sign sound contracts and avoid dispute risks;
• In particular, learn to comply with operating requirements, from legal records and business conditions to procedures for working with state authorities, helping your company operate steadily and avoid unnecessary mistakes during inspections.
When you understand the law, you no longer need to fear unexpected penalties: you can prepare confidently and respond professionally in any situation. This book is for you, carrying the responsibility of running a business while pursuing your own dream.
You do not need to become a lawyer. But understanding the law tells you what you may and may not do, and how to avoid losing money through unnecessary mistakes.
May this book help you continue your journey as a business owner with wisdom and sustainability.
The author is Lê Mai Lộc, a Master of International Law and a lawyer of the Hanoi Bar Association. She currently serves as Head of Legal at Đạt Phương Group, one of Vietnam's 500 largest enterprises and ranked among Vietnam's Top 50 outstanding enterprises for ten consecutive years.
With 18 years of legal consulting experience, the author has worked with major groups, directly advising on and resolving complex strategic issues. She is also the founder of Biglaw LH Law Firm, which specialises in economic and corporate legal advice.
The author first conceived this book two years ago. Work and professional responsibilities delayed it, but that time brought further practical experience and a wide range of complex legal matters. The book therefore offers more than theory: it distils nearly two decades of advising, questioning and working alongside businesses.
Against a background of changing policies and strict enforcement of business law, this book reflects the author's professional commitment to providing useful, accessible and sufficiently detailed knowledge for business owners, especially young entrepreneurs.
Master of Laws, Lawyer Lê Mai Lộc

This book is like a map for entrepreneurs. The legal situations are clear, easy to understand and surprisingly close to real life. I wish I had read it earlier when starting my company.

Although I have worked in legal affairs for over ten years, I still found many practical and insightful perspectives. The presentation is simple without oversimplifying the knowledge. Truly impressive.

As a new entrepreneur, I found this book very useful. It helped me understand the legal issues I would encounter and how to deal with them. I now feel more confident entering the business world.

I am not trained in law, but I could still understand the book and apply it immediately. It helps me understand what matters and know when to consult a lawyer. Very practical!
